You or Customer refers to the user of the Website or the recipient of our products or services.
Products refer to patio covers, roofing kits, and other materials, services, or items sold or provided by the Company.
Website refers to rainorshinepatiocovers.com and any subdomains thereof.
By using the Website or purchasing from us, you agree to be bound by these Terms, our Privacy Policy, and any other documents they incorporate by reference. If you disagree with any part of the Terms, you must not use the Website or purchase Products.
Quotations & Estimates: Any quote or estimate we provide is valid for a limited time (as stated in the quote), and based on the information you supply. Prices may change if the scope or specifications of the order change.
Payment Terms: If the Company handles installation, a deposit of 50% is required to start production or reserve materials. The remaining balance is due before delivery or upon installation completion. If you are ordering materials only (no installation), full payment is due before shipping.
Taxes & Fees: All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes, customs, duties, or import fees if you are located outside our primary service area.
We aim to ship materials for the Hercules Roofing System within approximately 3–4 weeks of order once full payment is received.
Installation will be carried out as agreed in the order contract. Delays caused by weather, supplier issues, or other factors beyond our control may affect timelines.
If something arrives damaged, you must notify us promptly (provide photos or evidence), and we will address the issue (e.g. send replacement parts).
We provide a 10-year warranty on the Hercules Standing Seam Roofing System (unless otherwise specified in writing).
Our warranty covers manufacturing defects under normal use, subject to terms and limitations set by the manufacturer and by us.
We do not warrant damage due to misuse, improper installation (unless done by our team or as per instructions), neglect, modifications, accidents, or natural disasters.
Limitation of Liability: To the maximum extent allowed under applicable law, the Company’s liability to you for any loss or damage arising out of or in connection with your use of the Products or Website shall not exceed the amount paid by you for the Products or Services giving rise to the claim.
All content on the Website (text, images, design, logos, etc.) is owned by or licensed to the Company. You may not copy, reproduce, distribute, modify, or create derivative works without our express written permission.
If you submit any ideas, suggestions, or designs to us, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, publish, or incorporate them into our business.
You agree to provide accurate, current, and complete information when ordering or contacting us.
If you choose to install Products yourself or via a third party, you assume responsibility for ensuring that you follow our instructions (if any), comply with local building codes and permit requirements, and use qualified professionals if required.
We may refuse or cancel orders at our discretion (e.g. if there are errors, issues in availability, fraudulent payment, or other reasons). If an order is cancelled after payment, we will refund the amount paid in accordance with our cancellation/refund policies.
If you cancel after production has begun (or materials have been ordered), you may be responsible for part or all of the costs incurred.
These Terms are governed by the laws of the state where Rain or Shine Patio Covers is located (e.g. Oregon), without regard to its conflict of law rules.
Any dispute arising out of or related to these Terms shall be resolved through good faith negotiation. If unresolved, either party may pursue mediation or binding arbitration, or go to court as per applicable law.
We may update these Terms from time to time. If we make material changes, we will notify you by posting the new Terms on the Website with a new “Last updated” date. Continued use of the Website or purchase of Products after such changes constitutes acceptance of the revised Terms.
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force.
Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
